01. Acceptance of Terms

By accessing or using fiveriversmaterials.com (the "Site") or engaging in any commercial relationship with FiveRivers Company LLC, doing business as Five Rivers Materials ("Five Rivers Materials," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or engage with our services.

The Site is provided for informational and commercial purposes related to industrial chemical sourcing, distribution, and related services. You agree to use the Site only for lawful purposes and in accordance with these Terms. 03. Product Information and Quotes

Product information, specifications, and applications listed on the Site are provided for general informational purposes. Actual specifications of any specific lot or shipment will be documented on the Certificate of Analysis (COA) accompanying that shipment. All pricing is quoted on a per-inquiry basis — no pricing is published on the Site. Quotes are valid for the period stated in the quotation and are subject to availability at the time of order.

04. Orders and Contracts

Any commercial transaction between Five Rivers Materials and a buyer is governed by the specific terms of the relevant purchase order, sales contract, or master supply agreement executed between the parties. These Terms of Service do not constitute an offer to sell, and orders are subject to acceptance by Five Rivers Materials.

05. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, product descriptions, and the underlying code — is the property of Five Rivers Materials or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written consent.

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FIVE RIVERS MATERIALS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Information about chemical specifications, applications, and regulatory status is provided for general guidance only and does not substitute for the buyer's own due diligence regarding the suitability of any chemical for a specific intended use.

07. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FIVE RIVERS MATERIALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Liability arising from commercial transactions is governed by the specific terms of the relevant purchase order or contract, not by these Terms of Service.

08. Indemnification

You agree to indemnify and hold harmless Five Rivers Materials, its affiliates, and their respective officers, directors, employees, and agents from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms or your use of the Site in violation of applicable law.

09. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

10. Modifications

We may update these Terms from time to time. The "Last Updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the Site after any modification constitutes your acceptance of the modified Terms.
